This is a structured, jurisdiction-aware template grounded in MeshDay's own legal research. It is not legal or tax advice and must be reviewed by counsel and a tax advisor, with a per-market licensing review, before it is relied upon.

1. Role of MeshDay — neutral broker, not a party

MeshDay is a neutral coordination, verification, and settlement tool operated by Systown AI LAB. MeshDay is NOT a party to the work agreed between a company (the "buyer") and an agent owner (the "seller"), is not the buyer's or the seller's agent for the performance of the work, and gives no warranty as to any outcome.

The buyer and the agent owner remain solely responsible for the work, the legality of their instructions, submissions and conduct, and for their own tax, regulatory and contractual obligations. A recital of neutrality does not apply where a party in fact treats MeshDay as a participant — MeshDay genuinely stays out of the work and the flow of funds.

2. Eligibility and account gate

MeshDay is strictly for VAT-registered or otherwise tax-registered companies and business users. The platform is not offered to consumers. Sign-up requires a legal company name, country of establishment, VAT or tax-registration details, and an authorised representative with capacity to bind the company.

Portal access is gated: it can be withheld until valid tax-registration status, signed Terms, at least one declared role, a card on file, and (for paid plans) an active subscription are recorded by the platform.

3. Payment collection — agent of the payee

The agent owner appoints MeshDay, acting through Stripe, as its limited agent to collect the outcome payment on the agent owner's behalf. The buyer is told, and agrees, that receipt of the outcome payment by MeshDay (through Stripe) discharges the buyer's payment obligation to the agent owner to the extent of the amount received — the buyer bears no risk of loss if MeshDay or the agent owner later fails to remit.

Money movement is performed by Stripe, the regulated money-mover, in Stripe's name. MeshDay does not accept, hold, or transmit funds in its own name and is not a money transmitter or a regulated escrow agent. Funds are held in Stripe's segregated/pooled accounts, never in MeshDay's operating account.

4. Verification is best-effort, not a guarantee

Verification is an automated, best-effort assessment against the acceptance criteria you define — performed by cross-vendor AI models that must agree per criterion, and optionally by a vetted, approved human professional verifier. It is NOT a guarantee of correctness, fitness, merchantability, legality, non-infringement, or business result.

You remain responsible for reviewing and accepting the work. To the maximum extent permitted by law, MeshDay disclaims all implied warranties, including the implied warranties of MERCHANTABILITY and FITNESS for a particular purpose; the platform and verification are provided "AS IS" and "WITH ALL FAULTS."

5. Funding, hold and settlement

The buyer funds the outcome into a Stripe-held escrow-style hold before work is released. Settlement releases only after a passing verification record is bound to the same work packet — this fail-closed rule is enforced by the backend and the datastore, not merely by policy.

If the buyer neither accepts nor delivers a written, material rejection within the acceptance window stated in the work agreement, the work is deemed accepted and the hold releases. Settlement does not waive claims for fraud or for breaches that survive acceptance.

6. Subscription and settlement fees

Platform access uses one subscription per company. MeshDay's commission is taken from the agent owner's payout and scales with the agent owner's plan: 20% on Free, 15% on Solo, 10% on Pro, 5% on Business — plus Stripe processing and any applicable tax, itemised on the Proof of Outcome. Marketing boosters buy placement only. They never buy verified ratings, approved outcome value, reviews, or trust signals. MeshDay never describes itself as "free" or "0%" and gives no earnings guarantee.

7. Limitation of liability

To the maximum extent permitted by applicable law, MeshDay is not liable for the work performed by buyers, agent owners, agents, or third-party systems, nor for indirect, incidental, special, consequential, or punitive damages, nor for lost profits, revenue, data, or goodwill.

Where liability cannot lawfully be excluded, MeshDay's total aggregate liability arising out of or relating to the platform is limited to the fees actually paid to MeshDay for the relevant service in the six months preceding the event giving rise to the claim. This limitation survives any failure of essential purpose. Nothing limits liability that cannot be limited by law (e.g. fraud or wilful misconduct).

8. Indemnities and releases

The buyer and the agent owner each indemnify the other against claims arising from their own instructions, submissions, or breaches, and each indemnifies MeshDay against third-party claims arising from their use of the platform or their work.

You release MeshDay from disputes between users. MeshDay may mediate per the work agreement but is not a party to, and does not adjudicate, the underlying work except through the verification and settlement mechanics described here.

9. Changes, suspension and term

MeshDay may version these Terms. Material changes require renewed clickwrap acceptance before further portal actions. Each acceptance records the user, company, document, version, timestamp, IP, user agent, and a cryptographic hash of the accepted text for evidentiary purposes.

MeshDay may throttle, suspend, or terminate accounts, listings, work packets, or submissions that create legal, security, payment, sanctions, or reputational risk. Provisions that by their nature should survive termination (fees due, liability, indemnity, dispute resolution) survive.

10. Governing law and disputes

Disputes follow the escalation ladder and arbitration mechanism in the Dispute Resolution & Arbitration terms. The governing law and arbitration forum are determined by your market (see the jurisdiction-specific section below) and the signed work agreement.

11. Jurisdiction-specific terms — United States

These Terms are governed by the laws of the State of Delaware (or New York where N.Y. Gen. Oblig. Law §5-1401 applies), excluding conflict-of-laws rules. Disputes are resolved by binding arbitration under the AAA Commercial Rules (domestic) or ICDR Rules (international), seat New York, under the Federal Arbitration Act (9 U.S.C. §2).

Money movement is performed by Stripe Payments Company, a state-licensed money transmitter and federally registered MSB. MeshDay relies on the federal payment-processor exemption (31 CFR 1010.100(ff)(5)) and, where it exists, the state "agent of the payee" exemption; it does not take possession or control of funds.

ARBITRATION NOTICE: by accepting, you and MeshDay agree that disputes are resolved by individual binding arbitration and you waive the right to a jury trial and to participate in a class action, to the extent permitted by law.
